Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ModaCommunities.com website (the "Site") operated by Moda Clubs, LLC ("Moda Clubs," "we," "us," or "our"). By accessing or using the Site, purchasing a membership, or submitting any form, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Acceptance of Terms

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. We may modify these Terms as described in Section 23.

2. Description of Services

The Site provides the following, some of which are free and some of which are paid:

  • Paid memberships in Moda Clubs programs and communities (such as The Moda Club, Real Watch Buyers, Moda Dealer Alliance, and Moda Gold+), each described on its own page.
  • A Group Directory of Moda Clubs communities on Facebook.
  • Group, post, and admin verification tools that indicate whether a Facebook group, post, share link, or profile is officially affiliated with Moda Clubs.
  • A Post Checker that scans listing text for words that may trigger automatic decline filters in certain Moda Clubs Facebook groups.
  • An AI chat assistant, concierge, and lead-routing services (such as shipping introductions, vehicle search and sale referrals, and sourcing requests).
  • Vendor and partner pages, contact and report forms, updates and announcements, a team directory, and an FAQ.

We may add, change, suspend, or discontinue any part of the Site at any time.

3. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that you are at least 18 and have the legal capacity to enter into these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

4. Paid Memberships and Payments

Certain memberships require payment. The price, billing frequency (one-time, monthly, or yearly), and the benefits included are described on the applicable membership page and shown to you before you complete your purchase. Payments are processed by our third-party payment processor; we do not store your full card number. You agree to provide accurate payment information and authorize us (through that processor) to charge the amount shown for the membership you select, plus any applicable taxes.

Membership benefits, including any access to member-only Facebook groups or chats, are provided as part of your membership in a Moda Clubs program. They are not a purchase of any Facebook, Meta, or third-party product, and continued availability of any particular group or benefit is not guaranteed. We may change membership pricing on a going-forward basis; changes do not affect the price of a term you have already paid for.

5. Renewals and Cancellation

Memberships billed on a monthly or yearly basis renew automatically at the then-current rate for the same term until you cancel, unless the membership page states it is a one-time or lifetime purchase. We will charge your payment method at the start of each renewal term. You may cancel at any time by contacting us at info@modaclubs.com (or using any cancellation link we provide). Cancellation stops future renewals and takes effect at the end of your current paid term; access continues until then. One-time and lifetime memberships do not renew.

6. Refunds

All paid memberships come with a 30-day money-back guarantee. If you request a refund within thirty (30) days of your purchase (or of a renewal charge), we will refund that payment, no questions asked. To request a refund, contact us at info@modaclubs.com. After 30 days, payments are non-refundable except where required by law. This refund policy applies to all paid Moda Clubs memberships, including one-time and lifetime purchases.

7. Communications (Email and SMS)

When you submit a form, apply for a membership, or subscribe, you agree that Moda Clubs may contact you by email, phone, or text message about your request and, if you opt in, with marketing and updates. Message frequency varies, and message and data rates may apply. You can opt out of marketing email at any time using the unsubscribe link in any marketing message, opt out of texts by replying STOP, or contact us at info@modaclubs.com. Transactional messages related to a request or membership are not marketing and may still be sent.

8. AI Chat Assistant

The Site offers an AI chat assistant. Its responses are generated by artificial intelligence, may be inaccurate, incomplete, or out of date, and do not constitute professional, legal, medical, financial, or investment advice. Verify anything important independently, including whether a group, post, or contact is official, before relying on it. Conversations are saved and reviewed by our team as described in the Privacy Policy. Do not submit sensitive information such as full payment card numbers or government identification numbers through the chat.

9. Concierge and Referral Services

Some services introduce or refer you to independent third parties (for example, shipping, vehicle sourcing or sale, and other vendor services). When you use these services, you authorize us to share the details you submit with the relevant partner so they can follow up with you. Those partners are independent businesses. Any transaction, service, price, or outcome is between you and the partner; we do not guarantee results, availability, pricing, or the quality or performance of any partner, and we are not a party to your dealings with them.

10. User Content and License

You retain ownership of the content you submit (such as photos, listings, reviews, and testimonials). By submitting content that is intended to be displayed publicly or that you provide to us, you grant Moda Clubs a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, publish, and display that content in connection with operating and promoting the Site and our communities. You represent and warrant that you own or have the necessary rights to the content you submit, that it is accurate, and that its use by us does not infringe any third party's rights. Do not upload content (including photographs) that you do not have the right to share. We may remove any content at our discretion.

11. User Conduct

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Submit false, misleading, or fraudulent information through any form, tool, or feature.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems or networks.
  • Use automated means, including bots, scrapers, or crawlers, to access or collect from the Site without our prior written consent.
  • Interfere with or disrupt the Site or connected servers or networks.
  • Upload, transmit, or distribute content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable, or that infringes any third party's rights.
  • Use the Site to facilitate scams, fraud, or unauthorized commercial activity.
  • Abuse the verification tools, chat assistant, or forms by submitting excessive or automated requests.

12. Intellectual Property

All content, features, and functionality of the Site, including text, graphics, logos, icons, images, software, and the overall design, are owned by Moda Clubs, LLC or its licensors and are protected by United States and international intellectual property laws. The Moda Clubs name, logo, Circle M mark, and related names, logos, and slogans are trademarks of Moda Clubs, LLC. Third-party names, brands, and marks referenced on the Site are the property of their respective owners; their use is nominative and does not imply affiliation or endorsement. You may not use our marks without our prior written permission.

13. Disclaimer of Warranties

THE SITE AND ALL SERVICES, TOOLS, MEMBERSHIPS, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) RESULTS OBTAINED FROM THE SITE, THE AI CHAT ASSISTANT, OR THE VERIFICATION TOOLS WILL BE ACCURATE OR RELIABLE; (C) THE VERIFICATION TOOLS WILL CORRECTLY IDENTIFY ALL OFFICIAL OR UNOFFICIAL GROUPS, POSTS, OR TEAM MEMBERS IN ALL CIRCUMSTANCES; (D) THE POST CHECKER WILL IDENTIFY ALL WORDS THAT MAY CAUSE A POST TO BE DECLINED; OR (E) ANY ERRORS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MODA CLUBS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO USE THE SITE OR ANY MEMBERSHIP; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING OTHER MEMBERS OR PARTNER VENDORS; (C) ANY CONTENT OBTAINED FROM THE SITE OR THE AI CHAT ASSISTANT; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT; (E) ANY TRANSACTION OR DEAL BETWEEN MEMBERS OR WITH A PARTNER VENDOR; OR (F) ANY RELIANCE ON VERIFICATION RESULTS OR AI OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR A MEMBERSHIP SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (II) ONE HUNDRED DOLLARS ($100.00).

15. Assumption of Risk

You acknowledge that all transactions, deals, and interactions between members of Moda Clubs communities are conducted between those members independently. Moda Clubs, LLC does not act as a party to any transaction, does not hold, escrow, or guarantee any funds, and does not guarantee the quality, safety, legality, or authenticity of items listed, the accuracy of listings, or the ability of sellers to sell or buyers to pay. The verification tools, Post Checker, AI chat assistant, and other features are informational aids only and do not constitute a guarantee, endorsement, or warranty of any kind.

16. Indemnification

You agree to indemnify, defend, and hold harmless Moda Clubs, LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or any membership; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content you submit.

17. Third-Party Links, Vendors, and Services

The Site contains links to and pages about third-party websites, businesses, and services, including Facebook group links, external product links, partner vendors, and payment platforms. Some vendors featured on the Site are paid advertising or referral partners of Moda Clubs, and pages describing them are advertising. Featuring a vendor is not a guarantee, warranty, or endorsement of that vendor's products, services, pricing, or performance. We do not control and are not responsible for the content, privacy practices, or availability of any third-party website, vendor, or service. Your interactions with any third party are solely between you and that third party.

18. Facebook/Meta Disclaimer

Moda Clubs, LLC is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (formerly Facebook, Inc.). Facebook, Meta, and all related marks are trademarks of Meta Platforms, Inc. The Moda Clubs communities operate on the Facebook platform as independent communities. Our verification tools interact with publicly available Facebook URLs and do not access, store, or process Facebook user data beyond publicly available redirect information.

19. Termination and Suspension

We may suspend or terminate your access to the Site, any tool, or any membership, and remove you from any Moda Clubs community, at our discretion, including for violation of these Terms, community rules, or applicable law, or to protect our members or the community. If we terminate a paid membership for cause, we are not required to refund it beyond the 30-day guarantee in Section 6. If we terminate your membership without cause, we will refund the unused, prepaid portion of your then-current term. You may stop using the Site at any time.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of South Dakota, without regard to its conflict-of-law provisions. Subject to Section 21, any legal action arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Minnehaha County, South Dakota, and you consent to the personal jurisdiction of those courts.

21. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be addressed through good-faith negotiation. If it is not resolved within thirty (30) days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, with the arbitration seated in Sioux Falls, South Dakota. Judgment on the award may be entered in any court of competent jurisdiction, including the courts identified in Section 20.

Class-action waiver. To the maximum extent permitted by law, disputes must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.

Small-claims and exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information, without first arbitrating. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court under Section 20.

22. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

23. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If we make material changes, we will take reasonable steps to notify you, such as by email or a notice on the Site. Changes are effective when posted (or on a later stated effective date). Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms; if you do not agree, stop using the Site.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices we publish on the Site, constitute the entire agreement between you and Moda Clubs, LLC concerning your use of the Site and supersede all prior communications and agreements regarding the Site.
